Subject: Registration of amendments to the Articles of Association of CD PROJEKT S.A.
Legal basis: Art. 56 section 1 item 2 of the Offerings Act – current information
The Management Board of CD PROJEKT S.A., headquartered in Warsaw (03-301), Jagiellońska 74 (hereinafter referred to as “the Company”), hereby announces that on 31 August 2022 it became aware that the District Court for the Capital City of Warsaw in Warsaw, 14th Commercial Department of the National Court Register had, on 31 August 2022, registered amendments to the Company’s Articles of Association regarding, among others, changes adjusting its content to the amendments of the Act of 15 September 2000 – Commercial Companies Code (uniform text – Journal of Laws of 2022, item 1467), which are to come into force on 13 October 2022, i.e. amendments to the Articles of Association introduced pursuant to the resolutions no. 22, 23 and 24 of the Ordinary General Meeting of the Company held on 28 June 2022, the adoption of which was announced by the Company in the current report no. 25/2022 dated 28 June 2022.
The consolidated text of the Company’s Articles of Association, acknowledging amendments adopted by the aforementioned resolutions is provided as an attachment to this report.
