Subject: Decision to carry out a merger between the Issuer’s subsidiaries

The Management Board of CD PROJEKT S.A. (hereafter referred to as “CD PROJEKT” or “the Issuer”) hereby announces that on 15 May 2017 the Management Boards of two of the Issuer’s subsidiaries, i.e. GOG Poland sp. z o.o. and GOG Ltd., adopted resolutions whose material purpose is to carry out a merger between said subsidiaries. Consequently, a transnational merger has been initiated whereby GOG Ltd. will be taken over by GOG Poland sp. z o.o. and its operating activities transferred to Poland.

The goal of the merger is to simplify the organizational structure of the CD PROJEKT Capital Group.

The decision to carry out the merger will, in the Company’s opinion, help optimize the activities of companies currently comprising the GOG.com segment, and enable concentration of all key operations related to digital distribution in the framework of a single legal entity. In addition, the merger will serve to augment the GWENT development consortium with a digital distribution platform utilized to distribute GWENT to PC owners.

GOG Ltd. carries out online distribution of videogames to customers from around the world, enabling games to be purchased and downloaded to the customers’ client devices. The company operates the global digital distribution platform and portal at GOG.com.

GOG Poland sp. z o.o. provides a wide range of programming services (including development of GOG Galaxy), IT administration and product testing (QA-related activities). The company has established a consortium with CD PROJEKT in order to carry out work on GWENT. In this scope, GOG Poland sp. z o.o. is responsible for developing the game’s networking features.

Both companies are fully owned by the Issuer.
