Subject: Disclosure of stock ownership
Legal basis: Art. 70 item 1 of the Offerings Act – purchase or sale of major stock package
The Management Board of CD PROJEKT S.A., headquartered in Warsaw (hereafter referred to as “the Company”) hereby announces that on 6 December 2016 the legal representative of Mr. Michał Kiciński, Company shareholder, filed the following notice:
“Acting in compliance with Art. 69 of the Act of 29 July 2005 on Public Offerings, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies I hereby declare a change in the share of votes controlled at the Company General Meeting.
On 5 December 2016 I was notified that the brokerage house had processed registration of Series L shares claimed by holders of Series A subscription warrants which had previously been assigned to entitled parties under the Company incentive program for 2012-2015. The rights incorporated by Series L shares become effective on the date of the deposition of shares into the entitled parties’ securities accounts.
To the best of my knowledge the rights incorporated by Series L shares claimed by owners of the aforementioned securities accounts became effective on 5 December 2016.
As a result of the abovementioned registration, the total number of Company shares was increased to 96 120 000. Consequently, my share of the Company share capital and the total number of votes controlled at the General Meetings has changed.
As of the date of submission of this notice:
- I hold 10 486 106 shares of Company stock;
- I control 10 486 106 votes at the General Meeting;
- I hold 10.91% of the Company share capital;
- I control 10.91% of the total number of votes at the General Meeting.
Prior to submission of this notice:
- I held 10 486 106 shares of Company stock;
- I controlled 10 486 106 votes at the General Meeting;
- I held 10.94% of the Company share capital;
- I controlled 10.94% of the total number of votes at the General Meeting.
I do not control any dependent entities which hold Company stock and have not entered into any agreements concerning the transfer of right to exercise voting rights under Art. 87 section 1 item 3c of the Offerings Act. Furthermore, I do not hold any financial instruments listed in Art. 69b of the Offerings Act.”
