Subject: Registration of merger between the Issuer’s subsidiaries

In relation to Current Report no. 6/2017 of 15 May 2015, the Management Board of CD PROJEKT S.A. (hereafter referred to as “the Issuer”) hereby announces that on 31 October 2017 the District Court for the City of Warsaw, 13th Commercial Department of the National Court Registry certified the transnational merger between two of the Issuer’s subsidiaries, i.e. GOG Poland sp. z o.o., with a registered office in Warsaw, entered in the Register of Entrepreneurs by the District Court for the City of Warsaw, 13th Commercial Department under registration no. (KRS) 00000521325 (hereafter referred to as “the Acquirer”), and GOG Limited, with a registered office in Nicosia, listed in the appropriate register (Department of the Registrar of Companies and Official Receiver) under registration no. HE223674 (hereafter referred to as „the Acquiree”).

The merger was carried out under Art. 492 § 1 item 1 of the Commercial Company Code (CCC), in conjunction with Art. 5161 of the CCC, by transferring the totality of the assets and liabilities of GOG Limited to the Acquirer in exchange for shares in the increased share capital of the Acquirer, issued to the Acquiree’s sole shareholder – namely the Issuer.

In conjunction with the merger, the Acquirer’s name was altered from GOG Poland sp. z o.o. to GOG sp. z o.o.

All rights and obligations of GOG Limited were transferred to GOG sp. z o.o. on the date of the merger’s registration in the National Court Registry.
